Terms and Conditions of Sale

Terms governing access and use of RecyNetwork advertising services

Purpose

These Terms and Conditions of Sale govern the relationship between SHPV France SAS (RecyNetwork) and any professional (advertiser) placing an order for advertising services on the RecyNetwork platform.

Service description

RecyNetwork offers two advertising services:

  • Display campaigns : Advertising banners in standard formats (728×90, 300×250). Distribution within the RecyNetwork according to available ad slots.
  • Sponsored articles : Publication of promotional articles with dofollow backlink on RecyNetwork blogs.

RecyNetwork comprises multiple thematic multi-vertical blogs hosted on the platform.

Price and billing

Prices displayed on the platform are ex-VAT. 20% VAT applies depending on service nature.

Billing occurs upon order placement. A PDF invoice is immediately available in the advertiser's account area.

Payment terms

Service payment is made online by credit card via Stripe.

  • Full payment : The full amount must be paid at the time of order.
  • No deferred payment : No credit or payment facilities are offered.

Late payment penalties

In accordance with Article L441-10 of the French Commercial Code, in case of non-payment on agreed dates:

  • Late interest : ECB base rate + 10 percentage points.
  • Flat fee : €40 per unpaid invoice.

These penalties are due without prior notice.

Content moderation

All advertising content (banners, text, article images) is subject to prior validation by RecyNetwork before publication.

  • Review delay : 3 to 5 business days.
  • Acceptance criteria : Compliance with ARPP standards, respect of editorial policy, absence of illegal content, counterfeiting or pornography.

RecyNetwork reserves the right to refuse any content without compensation, at its sole discretion.

Activation and duration

Display campaigns : Automatic activation after payment and creative validation. Campaign duration is as specified when subscribing to the offer.

Sponsored articles : Publication occurs after payment, editorial review and final content validation. Backlinks maintain dofollow status permanently by default. An optional expiration date can be set at the time of order.

Non-refundable

Any activated service (published campaign, published article) is fully due and non-refundable.

Exception: if content is rejected during moderation, payment is fully refunded within 5 business days.

Liability limitation

RecyNetwork commits to providing services diligently and in accordance with industry standards.

  • Liability cap : Limited to total order amount.
  • Exclusions : RecyNetwork is not responsible for indirect damages, loss of revenue, data loss, or brand damage.

Advertiser is solely responsible for ad content and its compliance with applicable law.

Intellectual Property

Advertiser warrants ownership of all copyright, trademark and intellectual property rights on submitted content (text, images, logos, videos).

  • License granted to RecyNetwork : Non-exclusive, free and irrevocable license for contract duration, allowing content distribution within RecyNetwork.
  • Platform ownership : RecyNetwork retains exclusive ownership of the platform, source code, design and all underlying systems.

Personal Data

Personal data processing complies with the General Data Protection Regulation (GDPR).

  • Data collected : Identity, contact details, billing data, platform usage statistics.
  • Purposes : Contract execution, billing, service improvement.
  • Retention period : Contract data: 5 years from end of contract. Billing data: 10 years (accounting compliance).

  • Your rights : Access, rectification, deletion, objection, portability, exercised by email to the DPO.

Force majeure

Neither RecyNetwork nor the advertiser is responsible for non-performance resulting from force majeure, including:

  • Technical or hardware infrastructure failure
  • Natural disaster
  • Unforeseen administrative or judicial decision
  • Cyberattack or malicious act

In case of force majeure, obligations are suspended for the duration of the event. If force majeure persists beyond 30 days, either party may terminate the contract without compensation.

Applicable law and jurisdiction

These Terms and Conditions of Sale are governed by French law.

  • Competent jurisdiction : Commercial Court of Chalon-sur-Saône.
  • Amicable resolution attempt : Before any legal action, parties commit to a 30-day negotiation period.
